Welcome to InstaPerks! These Terms of Service ("Terms") govern your access to and use of the InstaPerks website, mobile applications, and services (collectively, the "Services"). Please read these Terms carefully.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Services.

Definitions

Throughout these Terms, the following definitions apply:

  • "InstaPerks," "we," "us," and "our" refer to InstaPerks and its subsidiaries and affiliates.
  • "User," "you," and "your" refer to any individual or entity that accesses or uses the Services.
  • "Merchant" refers to businesses that offer promotions through our platform.
  • "Customer" refers to individuals who redeem promotions offered by Merchants.
  • "Promotion" refers to a discount or special offer created by a Merchant and available for redemption by Customers.
  • "Content" refers to text, graphics, images, music, software, audio, video, and other material found on the Services.

Account Registration

To use certain features of our Services, you may need to create an account. When you create an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to protect your account information.

User Responsibilities

General Responsibilities

As a user of our Services, you agree to:

  • Comply with all applicable laws and regulations
  • Respect the rights of others, including their intellectual property rights
  • Use the Services only for lawful purposes
  • Not use the Services to distribute spam or malicious content
  • Not attempt to interfere with or disrupt the Services
  • Not attempt to gain unauthorized access to any part of the Services

Merchant Responsibilities

If you are a Merchant, you additionally agree to:

  • Provide accurate information about your business and promotions
  • Honor all valid promotions redeemed by Customers
  • Verify Customer follows on Instagram in good faith
  • Not discriminate against Customers redeeming promotions
  • Comply with all applicable consumer protection and advertising laws

Customer Responsibilities

If you are a Customer, you additionally agree to:

  • Provide accurate information when requesting promotions
  • Follow Merchants on Instagram as required to qualify for promotions
  • Not create multiple accounts to bypass promotion limitations
  • Not share or transfer promotion codes to others unless explicitly permitted

Subscription and Payments

InstaPerks offers subscription services for Merchants. By subscribing to our Services, you agree to pay all fees associated with your subscription plan. We use third-party payment processors to process payments, and your use of their services is subject to their terms and conditions.

Subscription fees are charged on a recurring basis, and your subscription will automatically renew unless you cancel it before the renewal date. Fees are non-refundable unless otherwise expressly stated.

Promotions

Merchants are responsible for creating and managing their promotions. InstaPerks provides the platform to facilitate these promotions but does not guarantee specific results from any promotion.

InstaPerks reserves the right to remove any promotion that violates these Terms or that we determine, in our sole discretion, is fraudulent, misleading, or otherwise harmful to our users or third parties.

Intellectual Property

The Services and all Content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof, are owned by InstaPerks, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms do not grant you any rights to use any InstaPerks trademarks, logos, domain names, or other distinctive brand features. Any feedback, comments, or suggestions you may provide regarding the Services is entirely voluntary, and we will be free to use such feedback, comments, or suggestions without any obligation to you.

User Content

You retain ownership of any Content you submit, post, or display on or through the Services ("User Content"). By submitting, posting, or displaying User Content on or through the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with providing and promoting the Services.

You represent and warrant that: (i) you own or have the right to use and submit the User Content; (ii) the User Content does not violate the rights of any third party, including intellectual property rights and privacy rights; and (iii) the User Content complies with these Terms and all applicable laws and regulations.

Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Using the Services for any illegal purpose or in violation of any laws or regulations
  • Posting or transmitting unauthorized or unsolicited advertising, promotional materials, junk mail, spam, or any other form of solicitation
  • Impersonating another person or entity or falsely stating or misrepresenting your affiliation with a person or entity
  • Interfering with or disrupting the Services or servers or networks connected to the Services
  • Attempting to gain unauthorized access to any portion or feature of the Services or any other systems or networks connected to the Services
  • Using any robot, spider, crawler, scraper, or other automated means to access the Services for any purpose
  • Circumventing or attempting to circumvent any security or access control measures implemented by InstaPerks

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us. However, certain provisions of these Terms will survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

INSTAPERKS DOES NOT WARRANT THAT: (A) THE SERVICES WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INSTAPERKS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

INSTAPERKS' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO INSTAPERKS DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100).

Indemnification

You agree to defend, indemnify, and hold harmless InstaPerks, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the courts located in New Delhi, India, and you consent to the personal jurisdiction of such courts.

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall first be attempted to be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiations, it shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India.

The arbitration shall be conducted by a single arbitrator appointed by mutual agreement of the parties. The arbitration shall take place in New Delhi, India, and shall be conducted in the English language. The decision of the arbitrator shall be final and binding on both parties.

Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and InstaPerks regarding your use of the Services.
  • Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions will remain in full force and effect.
  • Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
  • Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of InstaPerks. InstaPerks may assign these Terms without restriction.
  • Force Majeure: InstaPerks shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, or strikes.
